01Scope
This EULA applies to the Path-iQ for iOS app distributed through the Apple App Store and the Path-iQ for Android app distributed through Google Play. Use of the underlying Path-iQ platform is also governed by our Terms of Service. In case of conflict, the Terms of Service control on platform-wide matters and this EULA controls on app-specific matters.
02License grant
Path-iQ grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Apps on devices you own or control, solely for use as a verified user of a Path-iQ customer account, and solely for clinical, diagnostic, research, or teaching purposes consistent with your professional role.
03Restrictions
You will not:
- Copy, modify, or create derivative works of the Apps.
- Reverse engineer, decompile, or attempt to derive the source code, except where this restriction is prohibited by law.
- Rent, lease, lend, sell, redistribute, or sublicense the Apps.
- Remove, alter, or obscure proprietary notices.
- Use the Apps in a manner that violates law, our Acceptable Use Policy, or any third-party rights.
- Use the Apps to develop a competing product.
- Run the Apps on a jailbroken, rooted, or otherwise materially modified device — doing so may compromise patient data and is grounds for immediate termination.
04Updates
We may issue updates to the Apps from time to time. Updates may include bug fixes, security patches, performance improvements, AI model updates, and new features. You agree that this EULA applies to all updates. For clinical safety, we may push mandatory updates; failing to install a mandatory update may limit or disable access until the update is applied.
05In-app purchases & subscriptions
The Apps may offer optional in-app purchases or subscriptions (for example, premium feature tiers or additional storage). Where offered:
- Billing and renewal are handled by Apple (App Store) or Google (Google Play) under their respective terms.
- Subscriptions auto-renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period.
- You can manage or cancel subscriptions in your Apple ID or Google Play account settings.
- Refunds are governed by our Refund Policy and the applicable app store's policies.
06Intellectual property
The Apps and all related materials are the intellectual property of Path-iQ or our licensors and are protected by copyright, trademark, and other laws. The Apps contain or use open-source components governed by their respective licenses; license notices are available in-app under Settings → About → Open Source Notices.
07Warranty disclaimer
To the maximum extent permitted by law, the Apps are provided "as is" and "as available". Path-iQ disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. The Apps are assistive software; final diagnostic responsibility remains with the licensed pathologist. See our Clinical Safety Disclaimer and AI Model Disclaimer.
08Limitation of liability
To the maximum extent permitted by law, Path-iQ's aggregate liability for any claims arising out of or relating to the Apps is limited to the amount you paid Path-iQ for the Apps in the twelve months preceding the event, or USD 100, whichever is greater. Neither party will be liable for indirect, incidental, consequential, or punitive damages, except where prohibited by law.
09Termination
This EULA is effective until terminated. It will terminate automatically if you fail to comply with any term. You may terminate by deleting the Apps from your device. On termination you must stop all use of the Apps. The sections on IP, disclaimers, liability, and governing law survive termination.
10Apple-specific terms (iOS)
The following applies to the iOS version of the App, in addition to all other terms:
- Acknowledgement. This EULA is between you and Path-iQ only, not with Apple. Path-iQ, not Apple, is solely responsible for the App and its content.
- Scope of License. The license is limited to use of the App on Apple-branded devices you own or control and as permitted by the Apple Media Services Terms.
- Maintenance and Support. Path-iQ is solely responsible for maintenance and support; Apple has no obligation to provide any maintenance or support.
- Warranty. Path-iQ is solely responsible for any product warranties. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you (if any). To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the App.
- Product Claims. Path-iQ, not Apple, is responsible for addressing your claims or any third-party claims relating to the App or your use of it, including product liability, failure to conform to legal requirements, and consumer protection claims.
- Intellectual Property Claims. In the event of a third-party claim that the App infringes intellectual property rights, Path-iQ, not Apple, is solely responsible for the investigation, defence, settlement, and discharge of any such claim.
- Legal Compliance. You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo, or designated as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
- Third-Party Beneficiary. You and Path-iQ acknowledge that Apple and its subsidiaries are third-party beneficiaries of this EULA and have the right to enforce it against you as a third-party beneficiary.
11Google-specific terms (Android)
The following applies to the Android version of the App, in addition to all other terms:
- This EULA is between you and Path-iQ only, not with Google. Path-iQ, not Google, is solely responsible for the App and its content.
- Your use of the App must comply with the Google Play Terms of Service.
- Google is not responsible for providing maintenance and support services for the App.
- Path-iQ is responsible for addressing any claims relating to the App or your use of it.
