By accessing or using Path-iQ, you agree to these Terms. Path-iQ is intended for use by qualified healthcare, laboratory, and pathology professionals. It is not intended for direct patient use. Where a written agreement exists between Path-iQ and your organisation, that agreement controls in case of conflict.

01The agreement

These Terms of Service ("Terms") form an agreement between you ("you" or "User") and Path-iQ ("Path-iQ", "we", "us"). The Terms govern access to and use of the Path-iQ website, web application, mobile applications, and related services (collectively, the "Services").

If you are using the Services on behalf of an organisation (a lab, hospital, network, or other entity), you represent that you have authority to bind that organisation, and "you" includes both you and that organisation.

02Eligibility & accounts

Path-iQ is licensed to organisations (labs, hospitals, networks) and to individual pathologists onboarded through verified channels. To use the Services you must:

  • Be at least 18 years old and able to enter into a binding contract.
  • Hold appropriate professional licenses and credentials for your role and jurisdiction.
  • Provide accurate registration information and keep it current.
  • Protect your credentials. You are responsible for activity under your account.
  • Notify us immediately of any unauthorised access at rahul.wasnik@pathiq.cloud.

03License & access

Subject to your compliance with these Terms and any applicable order form, Path-iQ grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal clinical, diagnostic, research, or teaching purposes during the term.

The license to install and use our mobile apps is set out in our End User License Agreement.

04Acceptable use

You will use Path-iQ only for lawful purposes consistent with these Terms and our Acceptable Use Policy. You will not:

  • Bypass or attempt to bypass security, authentication, or access controls.
  • Scrape, mass-export, or extract Path-iQ data outside of documented APIs and export workflows.
  • Reverse-engineer, decompile, or attempt to derive the source code of the Services, except where required by law.
  • Use the Services to make autonomous diagnostic decisions without pathologist sign-out.
  • Share credentials or allow unauthorised individuals to access the Services.
  • Use the Services to develop a competing product.
  • Upload malicious code or interfere with the integrity or performance of the Services.

05AI assistance

Path-iQ AI is assistive software. It surfaces regions of interest, segments structures, and produces quantitative outputs to support pathologist review. AI outputs are not diagnoses and must not be acted on without pathologist sign-out. See our AI Model Disclaimer for details on indications, validation, and override.

06Clinical responsibility

The signed-out conclusion of a licensed pathologist is the diagnostic record. Path-iQ disclaims responsibility for clinical decisions made outside the documented workflow or made without the required pathologist sign-out. See our Clinical Safety Disclaimer for the full statement.

07Customer data

You retain all rights, title, and interest in the data you submit to the Services (the "Customer Data"). You grant Path-iQ a limited license to process Customer Data solely as needed to provide the Services, maintain audit trails, and meet legal obligations. The handling of personal and patient data is described in our Privacy Policy and, for active customers, in our Data Processing Agreement (DPA) or Business Associate Agreement (BAA).

08Fees & subscriptions

Use of the Services may be subject to fees as set out in your order form or, for mobile in-app purchases, as listed in the relevant app store at the time of purchase. Unless otherwise stated:

  • Subscriptions auto-renew at the end of each billing period until cancelled.
  • For mobile in-app purchases, billing and renewal are handled by Apple (App Store) or Google (Play Store) per the relevant store's terms.
  • Fees are non-refundable except as set out in our Refund Policy.
  • Taxes are your responsibility unless we are required by law to collect them.

09Intellectual property

The Services, including all software, models, documentation, design, and branding, are owned by Path-iQ or our licensors and are protected by intellectual property laws. Nothing in these Terms transfers ownership to you. You may not remove or alter any proprietary notices.

Feedback you provide is owned by Path-iQ to the extent permitted by law. We are free to use feedback to improve the Services without obligation.

10Warranties & disclaimers

We will provide the Services with reasonable care and skill, consistent with industry practice for clinical software.

To the maximum extent permitted by law, the Services are provided "as is" and "as available". Path-iQ disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI outputs. Path-iQ does not warrant that the Services will be uninterrupted, error-free, or appropriate for every clinical scenario.

11Limitation of liability

To the maximum extent permitted by law:

  • Neither party will be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, or data.
  • Each party's aggregate liability for any claims arising out of or relating to these Terms is limited to the fees paid by you to Path-iQ in the twelve months preceding the event giving rise to the claim.
  • Nothing in these Terms limits liability that cannot lawfully be limited — including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

12Indemnity

You will defend, indemnify, and hold harmless Path-iQ from and against third-party claims arising out of your violation of these Terms, your misuse of the Services, or your Customer Data infringing the rights of a third party. We will defend you against third-party claims that the Services, as provided by us and used in accordance with these Terms, infringe a valid intellectual property right.

13Term & termination

These Terms apply for as long as you use the Services. Either party may terminate for material breach if the breach is not cured within 30 days of written notice. Path-iQ may suspend access immediately for security, clinical safety, or legal reasons. Sections that by their nature should survive termination (including IP, disclaimers, liability, and governing law) will survive.

14Governing law & disputes

These Terms are governed by the laws specified in your written agreement with Path-iQ. Where no written agreement exists, the Terms are governed by the laws of the jurisdiction in which Path-iQ is incorporated, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction, subject to any mandatory consumer rights you may have.

15Changes to the Terms

We may update these Terms from time to time. Material changes will be announced in-app, by email to administrators, and by updating the "Last updated" date above. Continued use of the Services after the effective date constitutes acceptance.
